Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Customer") and Seowly ("Seowly," "we," "us," or "our"), a company based in Montreal, Quebec, Canada. They govern your access to and use of the Seowly website, application, and related services (together, the "Service").
By creating an account, connecting a Google account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization, and "you" refers to that organization.
1. What Seowly does
Seowly is a link-building and outreach tool. The Service helps you find backlink opportunities, identify and verify contact details for those opportunities, draft personalized outreach messages, send approved messages from your own connected email inbox, and track replies and resulting links.
You send from your own inbox. Seowly does not send email on your behalf from Seowly infrastructure. You connect your own Google (Gmail) account, you review and approve every message before it is sent, and each message is sent from your inbox under your own identity. You are responsible for everything sent from your account.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use, not personal or household use.
3. Your account
You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us at hello@seowly.com if you suspect unauthorized use. You may not share your account, resell access, or let others use your account without our written consent.
4. Connecting your email account
To send outreach, you authorize Seowly to connect to your Google account through Google's OAuth authorization. By connecting your account, you grant Seowly permission to access your account only to the extent needed to draft, send, and track the messages you approve. You may disconnect your account or revoke this permission at any time through your Seowly settings or your Google account security settings. Our access to and use of data from your Google account is described in our Privacy Policy and is governed by Google's API Services User Data Policy, including its Limited Use requirements.
5. Acceptable use and your outreach obligations
The Service is a tool. You are solely responsible for the content of your outreach, for who you contact, and for complying with all laws that apply to your messages and to your data collection. This includes, without limitation, Canada's Anti-Spam Legislation (CASL), the U.S. CAN-SPAM Act, the EU General Data Protection Regulation (GDPR) and ePrivacy rules, and any other applicable anti-spam, marketing, and data-protection laws.
You agree that you will:
- Only send messages where you have a lawful basis or consent to do so, and only to recipients it is lawful for you to contact.
- Accurately identify yourself and your business, and never use false or misleading sender information, subject lines, or content.
- Include a functioning way for recipients to opt out or unsubscribe, and honor opt-out requests promptly.
- Send at reasonable, human volumes, and review and approve each message before it is sent.
- Collect, use, and store contact data lawfully, and respond to the rights requests of the people you contact.
You agree that you will not use the Service to:
- Send spam, unsolicited bulk email, deceptive, harassing, hateful, or fraudulent messages.
- Send malware, phishing, or content that infringes anyone's intellectual property or privacy rights.
- Scrape, collect, or process data in violation of any law, website terms, or the rights of others.
- Circumvent sending limits, rate limits, or safety features, or misrepresent the origin of a message.
- Violate the terms of Google or any other integrated third-party service.
- Reverse engineer, resell, or build a competing product from the Service, or access it to build a substantially similar product.
We may suspend or terminate your access if we reasonably believe you have violated this section. You will indemnify us for claims arising from your outreach or your data practices (see Section 12).
6. Free trial
We may offer a free trial. During the trial we run a limited scan so you can see real opportunities before paying. We do not charge your payment method during the trial period, and you can cancel at any time before the trial ends to avoid being charged. Unless you cancel, your subscription begins and your payment method is charged when the trial ends. We may change or discontinue trial offers at any time.
7. Subscriptions, billing, and cancellation
Paid plans are billed in advance on a recurring basis (for example, monthly) through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees, plus any taxes, on each renewal until you cancel.
- Auto-renewal. Subscriptions renew automatically for successive periods at the then-current price unless you cancel before the renewal date.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep access until then.
- Refunds. Fees are non-refundable except where required by applicable law. Nothing in these Terms limits any non-waivable rights you have under the Quebec Consumer Protection Act or other applicable consumer-protection law.
- Price changes. We may change our prices. We will give you reasonable notice, and changes apply to the next billing period after the notice.
- Taxes. Fees are exclusive of taxes. You are responsible for any applicable sales, use, GST/QST, VAT, or similar taxes.
8. Intellectual property
The Service, including its software, design, and content we create, is owned by Seowly and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription for its intended purpose. We reserve all rights not expressly granted.
You retain ownership of the content you provide and the messages you create ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to provide and improve the Service. You are responsible for having the rights necessary to use your Customer Content with the Service.
9. Third-party services
The Service integrates with third-party services, including Google/Gmail, Stripe, and analytics providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability may affect the Service.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
We do not guarantee results. SEO, search rankings, backlink placements, reply rates, and deliverability depend on many factors outside our control, including the decisions of website owners, search engines, and email providers. We do not warrant that the Service will be uninterrupted, error-free, or that contact data will be accurate or current.
11. Limitation of liability
To the fullest extent permitted by law, Seowly and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to the Service, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You will defend, indemnify, and hold harmless Seowly and its officers, directors, employees, and suppliers from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your outreach messages, recipients, and data-collection practices; (c) your Customer Content; or (d) your violation of these Terms or of any law or third-party rights.
13. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your license to use the Service ends. Sections that by their nature should survive termination (including Sections 8, 10, 11, 12, and 15) will survive.
14. Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide reasonable notice, such as by posting the updated Terms with a new "Last updated" date or by emailing you. Your continued use of the Service after changes take effect means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You and Seowly submit to the exclusive jurisdiction of the courts located in the judicial district of Montreal, Quebec, Canada, except where applicable law gives you the right to bring proceedings in your place of residence.
16. General
These Terms, together with our Privacy Policy, are the entire agreement between you and Seowly regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
